The IT Rules 2021 definition of online marketplace
The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, promulgated under the IT Act 2000, categorise intermediaries into different tiers with different obligations. 'Online marketplaces' — platforms that facilitate e-commerce transactions between buyers and sellers — have specific obligations including: maintaining records of sellers using the platform, providing a grievance mechanism, and cooperating with law enforcement. 'Significant Social Media Intermediaries' (those with more than 5 million registered users in India) have even more stringent obligations.
WhatsApp itself is a significant social media intermediary — Meta's WhatsApp entity in India has filed the required compliance reports. But a WhatsApp group is a feature within WhatsApp, not a separate intermediary. The question is whether the group admin who creates and manages a dedicated numismatic auction group is an 'online marketplace' operator.
The line between communication platform and marketplace
An occasional collectors' discussion group where members sometimes post items for sale is clearly a communication platform — the group primarily serves to connect people with shared interests, and sales are incidental. No reasonable interpretation of the IT Rules 2021 treats every WhatsApp group where some commercial activity occurs as an online marketplace.
The analysis becomes more difficult for groups that are: explicitly created for commercial auction activity; run by an admin who takes a commission or listing fee; have hundreds or thousands of members who joined for the purpose of buying and selling; and have structured auction formats with published rules. Such a group is functionally indistinguishable from an online marketplace — it exists to facilitate commercial transactions between buyers and sellers.
Practical implications if classified as an online marketplace
If a WhatsApp auction group is classified as an online marketplace under the IT Rules 2021, the admin would face: obligations to maintain records of sellers using the platform; a requirement to establish a grievance mechanism; obligations to cooperate with government orders for information; and potential liability for failing to act on complaints about fraudulent sellers. These are the same obligations that formal e-commerce platforms like Amazon and Flipkart face, applied to a WhatsApp group admin.
The classification has not been applied to numismatic WhatsApp groups by any Indian court or regulator. But the regulatory logic is clear — the function determines the classification, not the technical form. An admin who wants to avoid this classification should ensure their group is genuinely a community forum rather than a structured commercial marketplace.
